1. Introduction
These Terms & Conditions ("Terms") govern your access to and use of the website arconexservices.com (the "Website") operated by ARCONEX SERVICES ("Arconex", "we", "us", "our"), a Company licensed by the Dubai Silicon Oasis Authority under licence number 87920, with registered office at Building A1, Dubai Digital Park, Dubai Silicon Oasis, Dubai, United Arab Emirates.
These Terms also set out the general principles on which Arconex engages with clients for professional services. The specific commercial terms of each engagement — including scope, fees, payment milestones and project-specific obligations — are governed by the written proposal and engagement letter signed by both parties for that engagement, which prevails over these Terms in the event of any conflict.
2. Definitions
- "Arconex", "we", "us", "our" — ARCONEX SERVICES.
- "Client", "you", "your" — the natural or legal person who accesses the Website or engages Arconex for services.
- "Deliverables" — drawings, models, estimates, bills of quantities, reports, dashboards and any other work product produced by Arconex under an engagement.
- "Engagement Letter" — the written proposal or contract signed between Arconex and the Client for a specific assignment.
3. Use of the Website
You agree to use the Website only for lawful purposes and in a way that does not infringe the rights of, restrict or inhibit anyone else's use of the Website. Unauthorised use of the Website may give rise to a claim for damages and/or constitute a criminal offence under UAE law.
You must not:
- Use the Website in a way that causes, or may cause, damage to the Website or impairment of its availability or accessibility
- Use any automated system, software or process to extract data from the Website
- Attempt to gain unauthorised access to the Website, the server on which it is hosted, or any related system or database
- Use the Website to transmit unsolicited commercial communications
4. Intellectual property — Website
All content on the Website — including text, graphics, logos, images, design and code — is the property of Arconex Services or its licensors and is protected by UAE and international intellectual property law. You may view and download content from the Website for personal, non-commercial reference only. Any other use, including reproduction, redistribution or republication, requires the prior written consent of Arconex.
5. Intellectual property — Deliverables
All Deliverables produced by Arconex under an engagement — including but not limited to drawings, models, estimates, BOQs and reports — remain the exclusive intellectual property of Arconex Services until the Client has paid all fees and expenses due under the relevant Engagement Letter in full. Upon full payment, Arconex grants the Client a non-exclusive, perpetual, royalty-free licence to use the Deliverables for the purpose of the specific project for which they were commissioned. The Client may not use the Deliverables for any other project, or transfer, sub-licence or resell them to a third party, without Arconex's prior written consent.
Arconex reserves the right to retain copies of all Deliverables for its records, and to reference the project (in general descriptive terms, without disclosing confidential commercial information) for its own marketing and credentials purposes — unless otherwise agreed in writing.
6. Service engagement
Work on a paid engagement begins only on (a) the Client's written acceptance of a signed Engagement Letter, and (b) receipt of any agreed mobilisation payment. Verbal instructions, email exchanges or informal communications do not constitute an instruction to commence paid work.
Arconex reserves the right to decline any engagement at its sole discretion, including where there is a real or perceived conflict of interest, where the scope is outside our capability, or where the commercial terms requested by the Client are not viable.
7. Payment terms
Unless otherwise stated in the Engagement Letter, our standard payment structure is:
- 30% on signature of the Engagement Letter (mobilisation)
- 50% on issue of the draft Deliverables for Client review
- 20% on issue of the final Deliverables
For larger or longer engagements, payments may be structured around milestones or monthly progress. All fees are quoted in United Arab Emirates Dirham (AED) and are exclusive of VAT, which will be charged at the prevailing UAE rate where applicable. Invoices are payable within fourteen (14) days of invoice date by bank transfer to the account stated on the invoice. Late payment may attract interest at the maximum rate permitted by UAE law from the due date until paid.
8. Confidentiality
Arconex treats all Client information received in the course of an engagement as commercially confidential, and applies internal access controls, employee confidentiality obligations and secure storage to protect it. We are willing to enter into a separate Non-Disclosure Agreement (NDA) with any prospective or actual Client at the start of an engagement, on reasonable mutual terms.
We expect the same of our Clients in respect of Arconex's commercial information, pricing methodologies, and any proprietary templates or models we share in the course of the engagement.
9. Warranties and limitation of liability
Arconex warrants that the Services will be performed with reasonable skill and care, in accordance with the professional standards generally applicable to architectural design and construction estimating services in the UAE, and in accordance with the scope set out in the Engagement Letter.
Estimates, cost reports and forecasts are inherently predictive in nature and depend on the accuracy and completeness of the information supplied by the Client and on market conditions outside Arconex's control. Arconex does not warrant that an actual tender award, construction cost, productivity rate or earned-value outcome will match a forecast figure.
To the maximum extent permitted by UAE law, Arconex's total aggregate liability to the Client under or in connection with any single engagement — whether in contract, tort (including negligence), under statute or otherwise — is limited to the total fees actually paid by the Client to Arconex under the Engagement Letter giving rise to the claim. Arconex shall not be liable for any indirect, incidental, consequential, special or punitive damages, or for any loss of profit, revenue, business, opportunity or goodwill.
Nothing in these Terms limits any liability that cannot lawfully be limited under UAE law.
10. Force majeure
Neither party is liable for any failure or delay in performing its obligations caused by events outside its reasonable control — including acts of God, war, civil unrest, terrorism, government action, public-health emergencies, natural disasters, fire, flood, strikes, internet or telecommunications outages, or failure of utilities. The affected party will notify the other promptly and use reasonable efforts to mitigate the impact.
11. Termination
Either party may terminate an engagement by giving fourteen (14) days' written notice to the other. On termination, the Client will pay for all work performed and all reasonable costs committed up to the date of termination. Either party may terminate immediately on written notice if the other commits a material breach that is not remedied within fourteen (14) days of being notified, or becomes insolvent.
12. Governing law and jurisdiction
These Terms, and any engagement entered into with Arconex Services, are governed by the federal laws of the United Arab Emirates and the applicable laws of the Emirate of Dubai. The parties submit to the non-exclusive jurisdiction of the Dubai Courts for the resolution of any dispute, save that Arconex reserves the right to bring proceedings in any other jurisdiction in which the Client is incorporated, operates or holds assets.
13. Severability
If any provision of these Terms is held to be invalid or unenforceable, that provision will be severed and the remaining provisions will continue in full force and effect.
14. Entire agreement
These Terms, together with the Engagement Letter and any NDA signed between the parties, constitute the entire agreement between Arconex and the Client in respect of the subject matter.
15. Changes to these Terms
We may revise these Terms from time to time. The "Last updated" date at the top of this page reflects the most recent revision. Continued use of the Website after a revision constitutes acceptance of the revised Terms.
